親愛的馬祖鄉親們，

爾文David 回到美國有一段時間了, 看到各位鄉親前輩們, 仍然奮力在田產方面積極進取, 十分感動!

之前我曾經在馬祖資訊網, 為鄉親們建言了《馬祖國際投資有限公司》之倡議，也感謝一些鄉親們私下地回應和催促， 我覺得應該設立起一個團隊特別為此事作好預備和交流！

由於土地，房產, 餐飲， 電信，鏈商，和生技各方面都是很有前途的, 對各位鄉親們長期為了保守我們自己的產業, 和政府, 國防部和其他勢力的相爭, 我個人覺得應該有更好的解決方式的:

馬祖人民的田產都是比較零星小塊, 甚至於高低起伏的貧瘠土地, 大面積的耕地根本沒有, 建設類似仁愛國宅形式的地方, 也十分稀缺, 但是我們對鄉親鄉情鄉土的依戀是無法割捨的! 因此每個人的目標并不一定都相同! 一些人是為了祖先的遺產要能夠繼續傳承下去而奮鬥的, 一些人只是覺得這是他們自己的產業, 要盡可能做到極大化的處置, 這就跟利益相關了! 因此有些人是希望能夠住在自己的家鄉到最後一口氣的, 有些人則是希望拿這塊土地的剩餘價值, 為自己和家人們爭取更大的權益的!

雖然真正的目標都不一樣, 但是向政府爭取回來自己的權益一事卻是相同的!

我已經有一年的時間, 來為鄉親們思考去路了, 因爲我看到數位前輩們對此事的執著和熱忱, 雖然有家人對我說, 事不關己高高挂起, 別摻和太多他人閑事; 但是我自幼就這個樣子, 只要是自己的能力範圍内可以作到的事情, 我通常來者不拒的, 不然我們也不至於花費心力去照顧巴基斯坦的災民和孤兒, 緬甸的重建, 非洲的鏈接, 俄羅斯的教育...了。我清楚知道在家鄉， 很多人根本就不相信有馬祖人會這樣大愛於天下的，但事實上，倘若您能夠明白聽懂英文的話，

我們昨天下午3點到 6點在 美國矽谷地區的會議中, 我們就討論了很多 KOG的國際事工! 這樣的事情我們每周都在進行中!

我清楚鄉親們的背景和狀況, 只是世界很大, 最好大家都去看一看, 可能感覺會很不一樣的! 我在馬資網上也提及了海外福州十邑的鄉親們, 我們已經形成了在美國的華人族群中最大的一族了, 他們的發展都相當好的! 因此, 我清楚只要咱們鄉親們越多理解世界的發展, 就有越多的機會和方法解決許多的問題的!

現在這個公司已經預備好要 IPO首次公开上市了, 去年我們的同工們花了 近億美元的代價把整個公司并購了下來, 在去年的幾個大單子其實已經賺了一個以上的資本額了! 然而因爲同工們認同 KOG的國際關懷和國度事工, 因此他們願意將該公司的部分權益導入在 KOG 控股公司中, 這樣我們這裏無論發展 《馬祖國際投資有限公司》 Matsu International Investment Inc. （在美國正式的名稱）， 他們的控股公司都將按照實際的資本投入比例， 將這些非常賺錢的公司權益分享給我們大家的！

我囘馬祖時，希望跟各位鄉親們多見面分享此事，希望我們在最短時間能夠籌集至少 1 億元新臺幣的投資資本，這樣他們將可以儘快將我們導入在美國納斯達克的上市公司體系中！由於他們都是十分支持我的非盈利事工的， 他們的集團也曾經捐款給許多大陸的貧困家庭， 甚至於收到政府很高的榮譽，因此我們大家都感覺到這是很好的機會， 能夠直接帶給咱們鄉親們許多的機會！或許可以直接間接地解決我們目前膠著的田產問題。

K.O.G.控股集团（KHG：美国）：收购 Breakthrough Media Uganda Limited（BTM：乌干达）51% 的股份，并在乌干达扩展其媒体业务

影响力投资业务领域的领先集团之一 KOG 控股集团（KHG：美国）已达成协议，收购主要在线流媒体电视台制作公司之一的 Breakthrough Media Uganda Limited（BTM：乌干达）51% 的股份乌干达的私营公司。

该公司由一群信仰企业家组成，提供数字金融、数字资产管理、创意技术、电子商务、区块链技术、电信和房地产开发行业的管理服务，符合 ESG 标准，与去中心化金融应用相关，内容管理部门，工程和农业广告为人类生活福祉提供综合解决方案。

该交易涉及 KHG 的 340 万美元投资金额，其形式为认购总额为 290 万美元的预留增资，另外 500,000 美元用于购买认购权和 BTM 的股份。

K.O.G. Holding Group (KHG: USA): Acquires 51% of Break Through Media Uganda Limited (BTM: Uganda) and expands its media business in Uganda

K.O.G Holding Group (KHG: USA), one of the leading groups in the impact investment business sector, has reached an agreement to acquire 51% of Break Through Media Uganda Limited (BTM: Uganda), one of the major online streaming TV station production private companies in Uganda.

The company has been formed up by a group of faith entrepreneurs offering management services in Digital finance, Digital Asset Management, Creative Technology, e-commerce, blockchain tech, telecom, and property development industry fulfills the ESG standard, related to the Decentralized Finance Applications, Content Management sectors, Engineering and agriculture ad integrated solutions for the well-being of humans’ living.

The deal involves a USD 3.4 million investment amount by KHG which will be in the form of subscription of a reserved capital increase for a total of USD2.9 million, an additional USD 500, 000 to purchase subscription rights and BTM’s shares.

Once the deal is completed, 51% of BTM will be held by KHG, 49% by the management.

Acquisition of BTM will allow KHG to strengthen its own competitive positioning in the Content management & digital asset management markets both with regard to strategic consulting and its offer of technology and applications. Becoming a shareholder in BTM means that KHG acquires an important, well-established client portfolio formed of audience in Uganda.BTM’s estimated turnover for 2022 is approximately 16 million USD with an EBITDA of approximately 11.8% of revenues. During the first four months of the year the company achieved a turnover of approximately 4.7 million USD.

As far as the faith investment and corporate substantivities market is concerned, the acquisition of BTM represents an expansion of KHG’s own offer of infrastructures and multi-channel solutions for impact enabled companies in terms of applicational skills and specific technology.
